IMPORTANT: READ THIS AGREEMENT BEFORE USING ANY OF THE PAWWS(SM) FINANCIAL AND INVESTMENT RELATED INFORMATION SERVICES, INCLUDING ELECTRONIC ORDER PLACEMENT AND INFORMATION ACCESS (hereinafter referred to collectively as the "Service"). YOUR EXECUTION OF THIS AGREEMENT INDICATES YOUR ACCEPTANCE OF ALL OF THE FOLLOWING TERMS. IF THIS AGREEMENT IS UNACCEPTABLE TO YOU, DO NOT USE THE SERVICE. PAWWS, a division of Security APL, Inc., ("Service Facilitator") is willing to provide you this Service only if you agree to be bound by the following terms:
1. Information provided through the Service (the "Information") has been independently obtained by various data providers, (collectively, the "Data Providers") through sources believed to be reliable. However, neither Service Facilitator nor the Data Providers can guarantee the Service or the Information. There may be delays, omissions, or inaccuracies in the Information or in the Service. You agree that neither Service Facilitator nor the Data Providers shall have any liability, contingent or otherwise, for the accuracy or timeliness of the Service or the accuracy, timeliness, completeness or correct sequencing of the Information, or for any decision made or action taken by you in reliance upon the Information or the Service, or for interruption or delay of any data, information, or any other aspect of the Service. THERE IS NO WARRANTY OF MERCHANTABILITY, NO WARRANTY OF FITNESS FOR A PARTICULAR USE, AND NO OTHER WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE INFORMATION OR ANY ASPECT OF THE SERVICE (INCLUDING BUT NOT LIMITED TO INFORMATION ACCESS AND ORDER EXECUTION).
2. IN NO EVENT WILL SERVICE FACILITATOR OR THE DATA PROVIDERS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL OR INDIRECT DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, TRADING LOSSES, OR DAMAGES THAT RESULT FROM INCONVENIENCE, DELAY OR LOSS OF THE USE OF THE SERVICE) ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF SERVICE FACILITATOR OR THE DATA PROVIDERS HAVE BEEN ADVISED OF OR ARE OTHERWISE AWARE OF THE POSSIBILITY THEREOF, EXCEPT AS LIMITED BY APPLICABLE LAW. The maximum aggregate liability of Service Facilitator for all claims arising out of or relating to this Agreement, regardless of the form or cause of action, shall be the amount you originally paid for the Service Facilitator subscription, if any, or the amount you paid to Brokerage House as transaction commissions. Neither Service Facilitator nor the Data Providers shall be liable for any loss resulting from a cause over which such entity does not have direct control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, unauthorized access, theft, operator errors, severe weather, earthquakes and strikes and other labor problems.
3. The Information is the property of the Data Providers and is protected by copyright. You agree not to reproduce, retransmit, disseminate, sell, distribute, publish, broadcast, circulate or commercially exploit the information in any manner without the express written consent of Service Facilitator and the relevant Data Provider(s); nor to use the Information for any unlawful purpose. You agree to comply with reasonable written requests by Service Facilitator to protect the respective rights of Service Facilitator and the Data Providers in the Information and the Service.
4. You agree to pay all subscription, service and use fees, if any, which you are charged by Service Facilitator for the Service and agree that such fees may be changed without notice. You agree to pay all costs (including attorneys' fees, if any, incurred by Service Facilitator in collecting overdue fees from you). You also agree to pay all federal, state and local taxes applicable to your use or receipt of the Service.
5. You will be responsible for the confidentiality and use of your access number(s), password(s), and account number(s). You will be responsible for all orders entered through and under your access number(s), password(s), and account number(s), and any orders so received by Service Facilitator will be deemed to have been received from you. All orders shall be deemed to be made at the time received by Service Facilitator and in the form received.
6. You agree to notify Service Facilitator immediately if you become aware of any:
(a) loss, theft or unauthorized use of your access number(s), password(s), and/or account number(s); (b) failure by you to receive an electronic message (through the Service) that an order initiated by you through the Service has been received and/or executed through the Service; (c) failure by you to receive accurate, written confirmation of an order or its execution within five (5) business days after entering the order through the Service; or (d) receipt of confirmation or electronic message of an order which you did not place, or any similarly inaccurate or conflicting report or information.
7. You acknowledge that neither the Service nor any of the Information is intended to supply investment, financial, tax or legal advice. Service Facilitator does not recommend any investment advisory service or product, nor does Service Facilitator offer any advice regarding the nature, potential value, or suitability or any particular security, transaction or investment strategy. You acknowledge that all orders are at your sole risk.
8. You agree to indemnify and hold Service Facilitator and the Data Providers harmless from and against any and all claims, losses, liability, costs and expenses (including but not limited to attorneys' fees) arising from your violation of this Agreement or any third party's rights including but not limited to copyright, proprietary and privacy rights. This indemnification and hold harmless obligation will survive the termination of this Agreement along with the protections provided to Service Facilitator under Sections 1, 2, 3 and 7.
9. Service Facilitator reserves the right to terminate your access to the Service or any portion of it in its sole discretion, without notice and without limitation, for any reason whatsoever, including but not limited to the unauthorized use of your access number(s), password(s), and/or account number(s), breach of this Agreement, or discontinuance of Service Facilitator' s access to any information or data from any Data Provider or termination of one or more agreements between Service Facilitator and the Data Providers. In the event of a termination by Service Facilitator, the Data Providers and Service Facilitator shall have no liability to you.
10. Service Facilitator is a third party beneficiary of this Agreement, and is entitled to all of the rights and remedies available to its Brokerage Partners under this Agreement; provided, however, that Service Facilitator shall not be entitled to attach or place a lien on any Customer account.
